Position Overview: Reporting directly to the General Counsel and Corporate Secretary, the ACS will be responsible for ensuring Cummins Filtration’s compliance with federal and state Securities laws and requirements, as well as drafting, reviewing, and managing SEC filings. The ACS will also have a key, strategic role in corporate governance, Securities related matters, executive compensation, and tax, treasury, and financings, and will collaborate with the Finance and Human Resources organization to ensure compliance as a publicly traded company.
Experience: The successful candidate will have at least nine (9) years of experience practicing Securities law at an Am Law 100 law firm and at a publicly traded company, with a focus on public company corporate governance, board and committee meetings, shareholder meetings, investor relations, corporate communications, SEC compliance and reporting, executive compensation, tax, treasury, financing, and managing external counsel on these matters.
